BARBRI Global Limited ("BGL") is a private company limited by shares and registered in England and Wales. BGL is a wholly owned subsidiary of BARBRI Inc., headquartered in London, UK, with another office in Cardiff. BGL's business structure is supported by our parent company, BARBRI Inc., which provides support and insight into significant decisions.
The BGL's Articles of Association and Standing Orders set out how the BGL Board of Directors will govern and manage BGL, the responsibilities of the members of the BGL Board, and how the BGL Board will appropriately delegate its authority to the Managing Director and its committees, the Audit and Risk Committee and the Academic Board.
BGL's management and governance arrangements are appropriate for the size and complexity of the organisation and for the regulatory requirements placed upon it.
BGL Board
The BGL Board is BGL's ultimate decision-making body and oversees its management and strategy for the company. The BGL Board has constituted two committees: the Audit and Risk Committee and the Academic Board. The BGL Board meets four times a year on a quarterly basis. The BGL Board members currently include four Executive Directors and one Non-Executive, Independent Director.

Stephen Fredette
In the world of private equity and the knowledge industries, Steve Fredette is a high-impact leader who propels the companies under his leadership to growth and success. His leadership experience spans industries, including software development, consulting and engineering, but his passion for education defines his career.
By leveraging his technology background and embracing advances in learning science, his belief that you can deliver engaging and highly effective learning to today's students, driving better outcomes, has proved true. Steve operates under a simple tenet - ensuring customers' success through better outcomes inevitably leads to better returns for shareholders. That belief has enabled him to deliver strong revenue growth, high customer retention and attract some of the industry's top talent while building dynamic leadership teams.
Sarah Lloyd Hutchinson
Sarah qualified as a solicitor in England & Wales and practised as a commercial lawyer in London before specialising in professional legal education. In 2015, she joined BARBRI as Managing Director, International. Sarah was formerly the Vice President of the University of Law in the UK. Sarah is the Chair of the Section of Public and Professional Interest of the International Bar Association (IBA) and a member of the IBA's management board. Sarah has previously chaired the International Committee of the Law Society of England & Wales.
Michael Sims
If there's anything to know about U.S. bar exams and student success, Mike Sims knows it. A 26-year veteran in legal education, Mike works closely with leading law school administrators, faculty and students to improve law school and bar exam results. Under Mike's leadership, BARBRI has remained the consistent market leader in bar preparation. With an operating philosophy centering on student success and its positive impact on the legal field as a whole, Mike relates to stakeholders at all levels, from 3L students starting bar prep to professors and administrators. His formidable grasp of the state-specific and national components of the nation's bar exams and knowledge of the legal education landscape have established him as the go-to expert for media and others wanting insights into legal education trends and challenges.
Mike's work life hasn't always been focused on the law. His jobs in high school and college ranged from working as a butcher, a farmer, and a disc jockey at three different radio stations before earning a B.S. in agricultural education from Texas A&M and a law degree from the University of Texas School of Law. He then did brief stints in national and Texas politics, serving as special assistant to U.S. Senator Lloyd Bentsen and, later, as chief clerk for the State Affairs Committee of the Texas House of Representatives.
Lucie Allen
Lucie joined BARBRI in 2021 and is an established and energetic leader with over 20 years of commercial experience working across a variety of industries and verticals. She thrives on new challenges, driving change and delivering results by developing high performing teams and focusing on the customer. Lucie is passionate about diversity and inclusion advancement in the workplace as well as supporting people with personal development and career goals to achieve their potential. Lucie spent 7 years at Thomson Reuters prior to joining BARBRI in a global role as vice president in the legal segment where she worked closely with global law firm leaders. Lucie has created organisational structures, built teams, defined propositions and developed successful customer account programmes throughout her career to deliver top line growth. She is recognised for her collaborative approach, influence and ability to execute on her strategic vision.
Dan Wilson
Dan Wilson is a seasoned finance and operations leader who has created an exceptional level of value within multiple private equity-backed and public companies, as well as to the many boards on which he has generously given his service and expertise. Prior to joining the BARBRI team in September 2011, Dan held senior finance, corporate development and operations positions, and led successful roll-ups and exits for a diverse group of media, communication and technology companies, including GAP Broadcasting, American Community Newspapers, AMFM, Inc., and Marcus Cable.
He began his professional career with Arthur Anderson & Co. in the Accounting and Audit practice. In addition to serving in finance capacities, Dan has also assumed many operating roles in these organisations including chief operating officer, general manager and publisher. He has also been active in serving on the boards of many organisations, including GAP Broadcasting Group, American Community Newspapers, L.P., the Texas Community Newspaper Association, and Marcus Cable Properties, Inc., among others.
Anders Mikkelsen
Prior to joining Francisco Partners in 2017, Anders was an Analyst at Credit Suisse in the Technology Group in San Francisco.

Subcommittees
The Audit and Risk Committee
The Audit and Risk Committee provides formal and transparent arrangements for considering how to apply the financial reporting and internal control principles and to maintain an appropriate relationship with BGL's auditors. The Audit and Risk Committee's Terms of Reference set out the purpose and remit of the committees, as well as the membership, responsibilities and operations of the committee.
The Academic Board
The Academic Board provides academic strategy, the monitoring of course delivery, learning and teaching quality, staff development, along with widening participation and access for all individuals. The Academic Board's Terms of Reference set out the purpose and remit of the committees, as well as the membership, responsibilities and operations of the committee.
The Advisory Board
The Advisory Board comprises professional and business services individuals who have extensive experience in their specific fields, including but not limited to the legal industry, and provides a valuable student experience, navigate new markets, and build the BGL brand and reputation. The Advisory Board's Terms of Reference set out the purpose and remit of the committees, as well as the membership, responsibilities and operations of the committee.
Financial statements
The BARBRI Board of Directors is committed to allocating our resources to provide the maximum amount of value and quality for our students. We receive no public funding at the moment.
How we create value for our students:
- We provide affordable, all-inclusive courses, so our students won't need to pay for additional materials, workshops or resources.
- We provide unlimited one-to-one learning coaching to our SQE1 candidates.
- Our SQE2 candidates receive personalised feedback on their assessments.
- We have an excellent careers and employability service, offering a wide range of resources and career coaching to help candidates find work experience.
In 2023, we allocated our expenditure in the following way to benefit our students:
- 32% on academic staff
- 21% on admin
- 8% on education services for students
- 16% on student support
- 23% on marketing
